Terms of Service

Agreement

These Terms of Service (“Terms”) are a contract between you and Byonixia, LLC (“Byonixia,” “we,” “us”), a Delaware limited liability company with its registered address at 1111B S Governors Ave, STE 26775, Dover, DE 19904, USA. By using byonixia.com, purchasing from a store we operate, or engaging our services, you accept these Terms. If you do not agree, do not use our services.

Who may use our services

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use our services on behalf of a company, you confirm you have authority to bind that company, and “you” includes it.

Orders and payment

  • Product listings, prices, and availability may change without notice. Obvious pricing errors may be corrected and affected orders cancelled with a full refund.
  • An order is accepted when we send an order confirmation. We may refuse or cancel orders for suspected fraud, unavailability, or error.
  • Prices are in US dollars unless stated otherwise. Applicable sales tax is added at checkout.
  • Payment is processed by third-party payment providers; we never receive or store your full card details.

Shipping, returns, and refunds

Shipping methods, delivery estimates, return windows, and refund procedures for physical products are set out in our Shipping & Returns Policy, which forms part of these Terms. Nothing in these Terms limits any non-waivable rights you have under consumer protection law in your state or country.

Professional services

Engineering, integration, and operations engagements are governed by a written statement of work (“SOW”) signed by both parties. Where an SOW conflicts with these Terms, the SOW controls for that engagement. Unless the SOW says otherwise: invoices are due within 30 days; client-provided materials remain the client’s property; and deliverables transfer to the client on full payment.

Acceptable use

You agree not to misuse our services — including by attempting unauthorized access, interfering with operation, scraping at abusive volume, submitting fraudulent orders or chargebacks, or using our services to violate any law or third-party right. We may suspend or terminate access for violations.

Intellectual property

The Byonixia name, site content, and materials we create are owned by us or our licensors and protected by intellectual property law. You may not use our name, branding, or content to imply endorsement or affiliation without written permission. You retain ownership of content you submit to us and grant us a limited license to use it to provide the services.

Third-party services

Our services rely on third-party platforms (hosting, payments, shipping carriers, marketplaces, social platforms such as Meta). We are not responsible for third-party services, and your use of them is governed by their own terms.

Disclaimers

Except as expressly stated in these Terms, an SOW, or a product warranty, our services are provided “as is,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. Some jurisdictions do not allow these disclaimers, so they may not apply to you.

Limitation of liability

To the extent permitted by law, Byonixia’s total liability arising out of these Terms or your use of our services will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose or (b) US $100; and we will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. These limits do not apply to liability that cannot be limited by law.

Indemnification

You will indemnify Byonixia against third-party claims arising from your breach of these Terms or your unlawful use of our services, except to the extent caused by our own breach or negligence.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, both parties agree to try to resolve the dispute informally by contacting each other. Courts located in Kent County, Delaware have exclusive jurisdiction over disputes not resolved informally, and each party consents to their jurisdiction. Nothing in this section prevents you from bringing claims in small-claims court or under non-waivable consumer laws of your home state.

Changes to these terms

We may revise these Terms; the “last revised” date shows the current version. Material changes take effect no sooner than 14 days after posting, except changes required by law. Continued use after the effective date is acceptance of the revised Terms. Orders are governed by the Terms in effect when placed.
